SURVEY DATA DOCTOR (SDD)
END-USER LICENCE AGREEMENT
Licensor: Sergey Varentsov ("the Author")
Contact: varentsof@gmail.com
Software: Survey Data Doctor (SDD), every version, update and part of it,
and the documentation supplied with it ("the Software")
Type of licence: proprietary, commercial; a non-exclusive, non-transferable
subscription licence for a fixed term, for one computer
Copyright: (c) 2026 Sergey Varentsov. All rights reserved.
PLEASE READ THIS AGREEMENT BEFORE INSTALLING OR USING THE SOFTWARE. BY
INSTALLING, COPYING OR USING THE SOFTWARE YOU ("THE LICENSEE") ACCEPT THIS
AGREEMENT. IF YOU DO NOT ACCEPT IT, DO NOT INSTALL OR USE THE SOFTWARE.
IF YOU ACCEPT IT FOR A COMPANY OR ANOTHER ORGANISATION, YOU CONFIRM THAT YOU
MAY BIND IT, AND "THE LICENSEE" IS THAT ORGANISATION.
1. DEFINITIONS
1.1 "Licence File" is the file issued by the Author that names the Licensee,
the Computer and the Term, and carries the Author's digital signature.
1.2 "Computer" is the single computer whose code, as the Software shows it,
is named in the Licence File.
1.3 "Term" is the period between the first and the last day stated in the
Licence File.
1.4 "Output" is whatever the Licensee produces with the Software: cleaned and
corrected survey data, grids, exports and reports.
2. THE LICENCE
2.1 The Software is licensed, not sold. Subject to this Agreement and to
payment of the agreed fee, the Author grants the Licensee a
non-exclusive, non-transferable, non-sublicensable right to install the
Software on the Computer and to use it there during the Term, for the
Licensee's own professional or business purposes.
2.2 One Licence File covers one Computer. The Licensee needs a separate
Licence File for every further computer. A virtual machine is a Computer
only where the Licence File says so.
2.3 The licence is a subscription: it ends on the last day of the Term. To
go on using the Software the Licensee obtains a new Licence File from the
Author on the terms then agreed. Without a Licence File in force the
Software does not run, save for the trial under 2.6.
2.4 The Licensee may make copies of the installer for back-up. Every copy
remains subject to this Agreement.
2.5 A Licence File issued for evaluation is for trying the Software only and
not for paid or production work, unless the Author has agreed otherwise
in writing.
2.6 Trial. Without a Licence File the Software may be tried for one period
of seven days on a computer, which runs from the moment the trial is
started there and is not started again, on the same terms as an
evaluation under 2.5. So that the trial is given once, the Software
keeps a record of when it began on the computer, in more than one place,
and that record is not removed when the Software is. It holds a date and
a value worked out from the computer's hardware, and nothing that names
a person. The trial is not available on a virtual machine.
3. THE LICENCE FILE AND THE COMPUTER
3.1 To obtain a Licence File the Licensee sends the Author the Computer's
code shown by the Software. The code is a one-way digest of identifiers
of the Computer's hardware and of its operating system installation; it
does not disclose those identifiers and holds no personal data or survey
data.
3.2 The Software checks the Licence File on the Computer itself. It does not
contact the Author or any server, and it sends no data anywhere.
3.3 If the Computer is replaced or substantially rebuilt, the Author will, on
request and at the Author's reasonable discretion, issue a Licence File
for the replacement for the remainder of the Term, the earlier Licence
File then being treated as withdrawn.
3.4 The Licensee keeps the Licence File from third parties and does not
alter it.
4. WHAT THE LICENSEE MAY NOT DO
Except where the law that applies gives a right that cannot be excluded, the
Licensee may not, and may not allow anyone else to:
(a) copy the Software, other than as clause 2.4 allows, or install or use it
on any computer other than the Computer;
(b) sell, rent, lease, lend, sublicense, distribute, publish or otherwise
make the Software, a Licence File or any part of either available to a
third party, or use the Software to provide a bureau, hosted or
time-sharing service through which third parties operate it;
(c) decompile, disassemble, reverse engineer or otherwise try to obtain the
source code, the algorithms or the file formats of the Software;
(d) modify, adapt, translate or create derivative works of the Software;
(e) remove, disable, bypass or interfere with the licensing, the integrity
checks or any other protection of the Software, alter the computer's
clock or identity to that end, or use the Software with a Licence File
not issued by the Author for that Computer;
(f) remove or alter any copyright, trade mark or other notice in the
Software;
(g) use the Software to build a product that competes with it.
Processing the Licensee's clients' survey data on the Computer and delivering
the Output to them is permitted use and is not a breach of (b).
5. OWNERSHIP
5.1 The Software, its algorithms, its design, its documentation and every
copy of them, and all intellectual property rights in them, belong to the
Author. This Agreement transfers no ownership and no rights other than
the licence in clause 2.
5.2 The Licensee's survey data and the Output belong to the Licensee or to
whoever the Licensee holds them for. The Author acquires no right in them
and does not receive them.
5.3 If the Licensee sends the Author suggestions or reports about the
Software, the Author may use them freely, without obligation.
6. UPDATES AND SUPPORT
6.1 During the Term the Licensee may install the updates of the Software that
the Author makes generally available. An update is part of the Software
and is subject to this Agreement, or to the agreement supplied with it.
6.2 The Author answers questions and receives reports of faults at the
contact address above, as is reasonable, and is not obliged to provide
any particular update, correction, response time or service level unless
agreed separately in writing.
7. THIRD-PARTY COMPONENTS
The Software is distributed together with third-party software components,
among them Python, Qt and PySide6, NumPy, SciPy, Numba and LLVM, pyqtgraph,
Matplotlib, Pillow, PROJ and pyproj, GDAL and rasterio, laspy, Shapely,
ezdxf and ReportLab. Each remains the property of its owners and is licensed to the
Licensee under its own licence, which governs it in place of this Agreement
and which this Agreement does not restrict. Qt and PySide6 are used under the
GNU Lesser General Public License, version 3: the Licensee may replace those
libraries with compatible versions of their own, and clause 4(c) does not
apply to them to the extent that licence requires. The licence texts are
available from the components' authors and, on request, from the Author.
8. PROFESSIONAL USE; NO WARRANTY
8.1 The Software is a tool for qualified hydrographic surveyors and data
processors. It removes and moves soundings according to rules and
settings the operator chooses. The Licensee is responsible for those
choices, for checking the Output against the source data and against the
specification of the work, and for the fitness of the Output for the
purpose it is delivered for. The Software does not replace the judgement
of a competent surveyor, and its Output must not be the sole basis for
decisions affecting the safety of navigation, of life, of structures or
of the environment.
8.2 The Software never changes the Licensee's source files; the Licensee is
nevertheless responsible for keeping back-ups of its data.
8.3 TO THE FULLEST EXTENT THE LAW ALLOWS, THE SOFTWARE IS PROVIDED "AS IS"
AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR
STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, OF FITNESS FOR A
PARTICULAR PURPOSE, OF ACCURACY, OF NON-INFRINGEMENT, OR THAT THE
SOFTWARE WILL BE UNINTERRUPTED OR FREE OF ERRORS.
9. LIMITATION OF LIABILITY
9.1 TO THE FULLEST EXTENT THE LAW ALLOWS, THE AUTHOR IS NOT LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE LOSS, OR FOR ANY
LOSS OF PROFIT, REVENUE, CONTRACTS, DATA, VESSEL TIME, SURVEY TIME OR
GOODWILL, OR FOR THE COST OF RE-SURVEY OR RE-PROCESSING, ARISING FROM OR
CONNECTED WITH THE SOFTWARE, ITS OUTPUT OR THIS AGREEMENT, WHETHER IN
CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF TOLD THAT
SUCH LOSS WAS POSSIBLE.
9.2 THE AUTHOR'S TOTAL LIABILITY ARISING FROM OR CONNECTED WITH THE SOFTWARE
OR THIS AGREEMENT IS LIMITED TO THE FEE THE LICENSEE PAID FOR THE LICENCE
FILE IN FORCE WHEN THE CLAIM AROSE.
9.3 Nothing in this Agreement excludes or limits liability that cannot be
excluded or limited under the law that applies.
10. TERM AND TERMINATION
10.1 This Agreement begins when the Licensee first installs or uses the
Software and continues while the Licensee holds a copy of it.
10.2 The licence in clause 2 ends on the last day of the Term, and ends at
once, without notice, if the Licensee breaks clause 2.2 or clause 4. The
Author may also end it by written notice if the Licensee breaks any
other term and does not put that right within thirty days of being asked.
10.3 When the licence ends the Licensee stops using the Software. Fees paid
are not refunded, except where the law requires. The Output the Licensee
has already produced remains the Licensee's.
10.4 Clauses 4, 5, 7, 8, 9, 10.3, 11 and 12 continue after the licence ends.
11. CONFIDENTIALITY AND EXPORT
11.1 The Software contains trade secrets of the Author. The Licensee keeps
the Software, the Licence File and any non-public information about how
the Software works confidential.
11.2 The Licensee complies with the export control and sanctions laws that
apply to it and to the Software, and does not export, re-export or use
the Software in breach of them.
12. GENERAL
12.1 This Agreement, with the Licence File and any written order or invoice
agreed between the parties, is the whole agreement about the Software
and replaces earlier statements about it. Where an order or invoice
signed by the Author conflicts with this Agreement, that document
prevails.
12.2 The Licensee may not assign or transfer this Agreement or the licence
without the Author's written consent. The Author may assign it to a
successor to the Software.
12.3 If a provision of this Agreement is found invalid or unenforceable, it
is applied to the extent the law allows and the rest remains in force.
A failure to enforce a provision is not a waiver of it.
12.4 This Agreement is governed by the law of the country in which the Author
has his residence, excluding its rules on conflict of laws and excluding
the United Nations Convention on Contracts for the International Sale of
Goods. The courts of that country have jurisdiction over any dispute,
without prejudice to the Author's right to seek protection of his
intellectual property in any court that has jurisdiction, and without
prejudice to any rights a consumer has that cannot be excluded.
